The preliminary prospectus is marked subject to completion, and the price and share count on the cover are blank. Its summary table is headed in millions of dollars, except for share and per-share amounts. For the six months ended 30 June 2026 that table shows revenue of $16,286 million, an operating loss of $693 million, and a net loss of $80,748 million. The same table shows revenue of $1,163 million for the six months ended 30 June 2025. The line for the change in fair value of convertible notes, derivative liabilities and SAFEs is $72,388 million for the 2026 half. A note says those fair-value changes were primarily driven by an increase in the fair value of outstanding convertible promissory notes, from an increase in enterprise valuation. The prospectus also says that, as of 30 June 2026, Anthropic had raised an aggregate of $141.1 billion of capital and had cash and cash equivalents of $112.4 billion and short-term investments of $19.3 billion. It says net revenue retention was approximately 900% as of 30 September 2026.
The prospectus says Anthropic is a Delaware public benefit corporation. It says a long-term benefit trust would, through Class T common stock, generally elect and remove the Class T directors, who together would be a majority of the authorised board. It says a founder company would hold Class F common stock entitled to 50.1% of the voting power on matters put to stockholders generally, including election of directors other than the Class T directors, and that the Class F stock would have no economic rights.
What it means for business: the filing is not effective, and Anthropic's post says it is not an offer to sell the shares. The share count and price are not set. The half-year net loss in the prospectus table is much larger than the operating loss on the line above it. The table ties most of that gap to the fair-value line. This describes the filing. It is not a view on the shares.
